End User Licence Agreement

Terms of Service

1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “Customer”) and SecureThink (“we,” “us,” or “our”).

By purchasing, downloading, installing, or using the SecureThink software (“Software”), you agree to be bound by these Terms. If you do not agree, do not install or use the Software.

2. The Licence Grant

Unlike cloud-based SaaS products, SecureThink is a “Local-First” desktop application. Upon purchase and validation of your licence key, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

Download and install the Software on a device owned or controlled by you.
Use the Software for professional or personal analysis of documents.
Run the Software offline (“air-gapped”) following the initial activation handshake.

Term of Licence

Your licence is valid for one (1) year from the date of activation. To continue using the Software and receiving updates after this period, you must purchase a renewal licence.

3. Merchant of Record & Payment

Our order process is conducted by our online reseller and Merchant of Record, Lemon Squeezy.

Payment Processing

All payments, taxes (VAT/GST), and invoicing are handled by Lemon Squeezy.

Contract

When you purchase SecureThink, your transaction is with Lemon Squeezy, but your use of the Software is governed by this EULA.

Refunds

We adhere to the UK Consumer Rights Act 2015 regarding digital content. You are entitled to a refund within 14 days of purchase provided you have not activated your licence key. Once a licence key has been activated/redeemed, the digital content is considered “consumed,” and the right to a refund is waived unless the Software is technically faulty and cannot be fixed.

4. Intellectual Property & Data Sovereignty

This is the core of our promise to you:

A. What We Own

We (and our licensors) retain all ownership, intellectual property rights, and title to the SecureThink source code, branding, interface, and underlying architecture.

B. What You Own

You retain full ownership of:

  • Your Documents: The PDFs, text files, and data you upload.
  • Your Outputs: The summaries, analysis, and chat logs generated.
  • Local Storage: We have no access to your proprietary data.

5. User Restrictions

You agree not to:

Reverse Engineer

Decompile, disassemble, or attempt to derive the source code of the Software.

Circumvent Licensing

Attempt to bypass the licence key verification or “crack” the Software.

Share Keys

Distribute your licence key to third parties or publish it online. We reserve the right to blacklist keys that show suspicious activity.

Illegal Use

Use the Software to generate content that is illegal, defamatory, or promotes violence.

6. AI Disclaimer & Limitation of Liability

Please read this section carefully. It limits our liability to you.

A. Nature of Generative AI

You acknowledge that SecureThink utilises Large Language Models (LLMs) (e.g., via Ollama). You understand that:

  • AI Can Make Mistakes: AI models are probabilistic. They may generate “hallucinations” (plausible-sounding but incorrect information).
  • No Professional Advice: The Software is a productivity tool. It is not a substitute for a qualified lawyer, doctor, engineer, or compliance officer.
  • Verification: You agree to verify all Software outputs against your original source documents before taking any professional action.

B. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless SecureThink, its developers, and affiliates from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Software’s outputs in professional decisions.
  • Your violation of these Terms.
  • Any infringement of third-party rights caused by the documents you upload.

C. Cap on Liability

To the extent permitted by applicable law (including the UK Consumer Rights Act):

  • Total Liability: Our total cumulative liability for any claims arising under this agreement shall be limited to the amount you actually paid for the Software during the 12 months prior to the claim.
  • No Consequential Damages: We are not liable for loss of profit, loss of business, business interruption, or loss of data (including corruption of your local database).

Note: Nothing in these Terms excludes our liability for death or personal injury caused by our negligence, or for fraud.

7. Updates and Changes

  • We may provide updates to the Software (patches, new features) during your valid licence term.
  • We reserve the right to modify these Terms at any time. Material changes will be notified via email or an in-app notification.
  • We do not guarantee that the Software will remain compatible with future versions of macOS or third-party dependencies (like Ollama) indefinitely, though we strive to maintain support.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

Dispute Resolution: You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement.
